Abstract
This independent project-finance and structuring advisory documents the author’s own review of the project — a proposed utility-scale solar photovoltaic development at a city in a Philippine island province, Philippines, seeking a USD 2,000,000 raise for an initial 2 MW phase scalable toward 10 MW, underpinned by a 25-year power-supply agreement with the local electric cooperative the cooperative. It performs a technical reality check, recalibrating an over-stated “80% efficiency” claim into standard metrics — module efficiency ~20–23%, performance ratio ~0.80, and capacity factor ~18–21% — and validates a modelled first-year yield of ~1,575 MWh (~17.9% capacity factor) as realistic. The core contribution is capital-structural: a pure-equity venture raise would over-dilute the founders (>60% effective control surrendered), so the asset’s 25 years of contracted cash flow should instead be financed with senior debt through a special-purpose vehicle (SPV), preserving control and lowering the cost of capital. The report analyses the real Philippine reforms permitting 100% foreign ownership of solar SPVs (DOJ Opinion No. 21 s.2022 / DOE DC2022-11-0034) and 99-year land leases (RA 7652; RA 12252), the DOE Certificate-of-Authority permitting pathway (DC2024-06-0018), the ERC/BSP/SEC/BIR touchpoints, and a non-venture financing menu. A governance section flags a politically exposed person (PEP) exposure and the US Foreign Corrupt Practices Act (FCPA) and anti-bribery controls required before institutional capital will engage.
